OSL Campaign - Terms and Conditions
These terms and conditions (the “Terms”) govern Fuel Your Wealth Campaign (the “Campaign”) organised by OSL Digital Securities Limited (“OSL”, “we”, “our” or “us”). By participating in this Campaign, each participant (“you” or “your”) acknowledges and agrees to be bound by these Terms, the OSL Client Terms and Conditions, and the OSL Privacy Policy, which together form a legally binding agreement between you and us.
1. Definitions
- For the purposes of these Terms, the following definitions apply:
"Eligible User" means an individual who meets one of the following criteria:
1) New User: An individual who registers for an OSL account (“OSL Account”) for the first time during the Campaign Period (defined below) and who successfully complete all the required verification procedures, including Know-Your-Customer (“KYC”) verification, to ensure eligibility for participation; or
2) Existing User: An individual who registered for an OSL Account prior to the Campaign Period but has not completed an initial deposit prior to the start of the Campaign Period.
"Net Deposit" means the total value of assets deposited minus the total value of assets withdrawn in the OSL Account during the Campaign Period.
2. Campaign Period
The Campaign will commence from 19 January 2025 (HKT) to 28 February 2026 (HKT) and 1 April 2026 (HKT) to 31 May 2026 (HKT), unless amended or terminated earlier at the sole discretion of OSLDS.
3. Eligibility
3.1 The Campaign is open to individuals who meet all the following criteria:
- Are at least 18 years old at the time of participation;
- Have accepted these Terms;
- Meet the definition of an Eligible User;
- Have successfully submitted the designated Campaign registration form during the Campaign Period; and
- Hold a valid and verified OSL Account and have completed all required verification procedures, including KYC, to ensure eligibility for participation.
3.2 Institutional clients and Over-the-Counter (OTC) clients are not eligible to participate.
3.3 Participants must not engage in any fraudulent, deceptive or manipulative practices, such as creating multiple accounts, to gain unfair advantages in the Campaign.
3.4 Participants must ensure compliance with all local laws, regulations, and any applicable restrictions related to virtual asset transactions. OSL reserves the right, at its sole discretion, to refuse participation or revoke eligibility of any participant who is found to be in breach of these Terms.
4. Reward Conditions
4.1 Eligible Users can earn rewards by meeting the Net Deposit and Asset Retention requirements.
4.2 Payment in Bitcoin: The rewards specified in Clause 4.1 differ in HKD value but shall be distributed in Bitcoin (BTC). The quantity of Bitcoin to be distributed will be calculated based on the HKD-to-BTC exchange rate prevailing on the OSL platform at the time of distribution. OSL reserves the right to apply a conversion rate it reasonably deems appropriate.
4.3 Critical Conditions for Rewards: To qualify for any of the rewards listed in Clause 4.1, you must strictly comply with the following:
- 1) Deposit Deadline: To be eligible for the reward, you must accumulate a Net Deposit meeting the required threshold no later than 14 calendar days after your First Deposit Date. Any deposits made after this 14-day period will not count towards the reward tier qualification.
- 2)Retention Period: Immediately upon satisfying the Net Deposit threshold, you must maintain a Daily Average Asset Balance of not less than the applicable threshold amount for a consecutive period of 30 calendar days commencing from the date such threshold is met.
- 3)Asset Valuation Risk: The Daily Average Asset Balance includes both fiat and digital assets. It is calculated based on the market value of the assets. If the market value of your digital assets drops, causing your Daily Average Asset Balance to fall below the required threshold during the Retention Period, you may lose your eligibility for the reward. You are responsible for monitoring your account balance and topping up if necessary.
- 4)Valid Verification: Users must complete account verification (KYC) before they are eligible to claim any rewards.
5. Reward Distribution
Rewards will be credited to the eligible participant’s OSL Account within 30 calendar days after the user has satisfied all conditions. OSL reserves the right to delay reward distribution in the event of system maintenance, data validation, or force majeure circumstances.
6. General Terms
6.1 OSL retains the sole and absolute discretion to determine your eligibility, verify task completion based on OSL’s internal records, and make final decisions regarding this Campaign. OSL may, at its sole and absolute discretion, suspend, vary, amend, withdraw or terminate these Terms at any time without prior notice, including for the avoidance of doubt, suspend, abbreviate or vary the Campaign Period.
6.2 OSL reserves the right, at its sole discretion, to disqualify any participant or revoke/claw back any rewards if the participant:
1)Engaged in improper, fraudulent, or manipulative practices, including but not limited to wash trading, churning, registering multiple accounts, maliciously claiming rewards, or using automated means (e.g., bots) to execute transactions;
2)Provides false, inaccurate, or misleading information to OSL, or submits forged or altered documentation;
3)Withdraws assets during the Retention Period such that the Daily Average Asset Balance falls below the requirement; or
4)Breached these Terms or the OSL Client Terms and Conditions, or failed to maintain a valid account status.
6.3 In the event of any discrepancy or inconsistency between the English and Chinese versions of these Terms, the English version shall prevail.
7. Communication Disclaimer
OSL disclaims all liability for the inability of a participant to participate, connect, comment or communicate with OSL during the Campaign due to equipment malfunction, inadvertent disconnections, acts beyond OSL’s reasonable control. OSL disclaims all liability for any delays, mis-delivery, loss, or failure in the transmission or delivery of any item sent by electronic means or any other delivery method in connection with the Campaign.
8. Use of Personal Information
By participating in the Campaign, to the extent permitted by applicable laws and regulations, all participants agree that OSL may collect, use, process, retain or transfer any of their personal information, account details, feedback or comments and likenesses collected through the Campaign for the purpose in connection with the operation of the Campaign, analysis of marketing strategy and other similar purposes. Participants’ Information may be further disclosed or transferred by OSL to any other third parties who are in connection with the operation of the Campaign. By participating in the Campaign, each participant waives all claims of liability against OSL, its employees and agents, the sponsors and their respective employees and agents, for any loss which may occur from the conduct of, or participation in, the Campaign, or from the use of any withdrawals.
9. Taxes
Participants are solely responsible for reporting, withholding, and paying any applicable taxes related to the rewards received and for any expenses associated with the use of the rewards not specifically provided for by OSL.
10. Disclaimers
This Campaign shall not, under any circumstances, be construed as financial, legal, tax, or accounting advice, or a solicitation, recommendation, or offer to sell or subscribe to any securities or financial instruments. Nothing contained herein shall form the basis of any contract or commitment. Additionally, this Campaign is not intended to provide tax, legal, or accounting advice.
