Terms and Conditions of the OSL Digital Securities Time-Limited Invitation Festival

These terms and conditions (the “Terms”) govern the Invite & Earn Month Campaign (the “Campaign”) organised by OSL Digital Securities Limited (“OSLDS”, “we”, or “us”). By participating in this Campaign, participants (“you”, “your”) acknowledge and agree to be bound by these Terms, the OSLDS Client Terms and Conditions, and the OSL Privacy Policy (collectively, the “Agreements”), which together form a legally binding agreement.

Campaign Period

• The Campaign begins at 09:00 (HKT) on 1 December 2025 (HKT) and ends at 23:59 on 31 January 2026 (the “Promotion Period”), unless amended or terminated earlier at the sole discretion of OSLDS.

Eligibility

• Participants must be residents of the Hong Kong Special Administrative Region (“Hong Kong”) and must provide valid and verifiable proof of residential address located within Hong Kong as part of the onboarding process. Participants residing outside of Hong Kong are ineligible to participate.
• Participants must be at least 18 years of age at the time of participation.
• Each participant is permitted to hold only one (1) OSLDS account. Multiple accounts registered under the same individual will result in disqualification from the Campaign.
• This Campaign is available exclusively to individual clients, excluding institutional clients.

Eligible Inviter

• To qualify as an Eligible Inviter under this Campaign, the following conditions must be met:

a. The Inviter must have successfully opened and maintained an active OSLDS account prior to or during the Promotion Period. For the avoidance of doubt, the Inviter shall pass all requisite account verification procedures as required by OSLDS, including, but not limited to, KYC checks, identity verification, and any additional requirements as determined by OSLDS.

b. OSLDS will issue a unique invitation code to each Eligible Inviter.

• By participating in the Campaign, the Inviter represents, warrants, and covenants that:

a. The Inviter shall not act as an agent or representative/employee of OSLDS, nor shall the Inviter engage in any form of marketing, solicitation, or promotion of OSLDS's services or products in any jurisdiction.

b. The Inviter shall not provide and shall refrain from providing any form of investment advice, recommendations, opinions, or guidance relating to digital asset dealing, including but not limited to investment strategies, advice on the purchase or sale of digital assets, or related financial instruments, whether directly or indirectly.

c. The Inviter shall not refer any individual to OSLDS as part of a business, commercial, or professional arrangement, nor shall the Inviter engage in any referral activities as a business, enterprise, or regulated activity.

Successful Invitation Criteria

• A "Successful Invitation" shall be deemed to have occurred when all of the following conditions have been fully satisfied:

a. The Inviter provides their unique invitation code to an individual who has not previously registered an account with OSLDS (hereinafter referred to as the “Invitee”).

b. The Invitee:

i. Inputs the Inviter's invitation code at the time of registration;

ii. Successfully completes all requisite account verification procedures as required by OSLDS, including, but not limited to, KYC checks, identity verification, and any additional requirements as determined by OSLDS;

iii. For Ordinary Invitation, satisfy at least one (1) of the following conditions within fourteen (14) calendar days from the date of initial registration:

(i) Deposits a minimum amount of HKD 10,000 (or an equivalent value in other currencies) into their OSLDS account and maintains a minimum Net Deposit of HKD 10,000 (or its equivalent in other currencies) for a consecutive period of fourteen (14) calendar days following the first deposit. For this Campaign, "Net Deposit" is defined as the total amount of funds deposited into the account, minus any withdrawals or transfers, and excluding any changes in the value of assets due to market fluctuations or other reasons;

OR

(ii) Completes at least one (1) digital asset purchase with a minimum value of HKD 100 (or its equivalent in USD) in a single transaction within fourteen (14) calendar days from the day of registration .

• For this Campaign, the term "register" or "registration" shall refer solely to the initial creation of an account with OSLDS via the designated platform or channels. "Registration" shall not include the completion of account verification, KYC checks, or any other additional requirements imposed by OSLDS for regulatory or operational purposes.
• By participating in the Campaign, each user (whether an Inviter or Invitee) represents, warrants, and undertakes that they are not, either individually or in concert with others, engaging in any conduct, activity, or practice that may constitute a violation of any applicable criminal, civil, or regulatory laws, including, but not limited to, anti-corruption, anti-money laundering, fraud, or any other general criminal laws or regulations. This includes, without limitation, engaging in activities such as bribery (whether in the form of offering, giving, receiving, soliciting, or inducing unauthorised advantages, rewards, benefits, or inducements) or participating in any form of dishonest, fraudulent, or unlawful conduct.

Reward Structure

• Upon the completion of a Successful Invitation, and subject to full compliance with all eligibility requirements and conditions set forth in these Terms, the Eligible Inviter shall be entitled to receive the following reward:

• Each Eligible Inviter may refer to a maximum of ten (10) eligible Invitees under this Campaign. Invitations submitted in excess of this limit shall not be eligible for any additional rewards under this Campaign.
• The quantity of Bitcoin rewards will be calculated based on the Hong Kong dollar (HKD) to Bitcoin exchange rate available on the OSLDS platform at the time of distribution. OSLDS reserves the right, at its sole discretion, to apply a conversion rate it reasonably deems appropriate. OSLDS further reserves the right to deduct any associated costs or fees incurred in the conversion process.
• The account opening process is contingent upon the submission of all necessary information and documentation by the participant. The time required to open an account may vary depending on the completeness of the submitted materials and the complexity of the case.
• In addition to the reward tiers set out in Clause 5.1, if an Invitee who qualifies for Ordinary Invitation subsequently meets the requirements to join the VIP program, the Eligible Inviter shall receive an additional reward (“VIP Invitation Reward”) for successfully inviting a VIP user during the Promotion Period, without affecting the Ordinary Invitation rewards. This VIP Invitation Reward is subject to the following conditions:

a. Reward Amount:

Each Successful VIP Invitation shall entitle the Eligible Inviter to receive additional BTC equivalent of HKD 1,000.

b.Conditions for a “Successful VIP Invitation”

A “Successful VIP Invitation” shall be deemed to have occurred only when all of the following conditions are satisfied:

i. The Invitee must meet all requirements in Ordinary Invitation of Clause 4.1(b);

ii. The Invitee qualifies as a VIP user according to the VIP criteria published on OSL’s official website (https://www.osl.com/hk/premium?channel=WEBVIP) as updated from time to time in OSLDS sole discretion, and is shown as holding a VIP tier on the VIP status check date(s) described in this Clause.

iii. Existing OSLDS users who upgrade to VIP are NOT eligible invitee; only newly registered users during the Promotion Period qualify.

c. VIP Reward Settlement and Distribution

The VIP Invitation Reward will be settled twice:

i. Early January 2025: settlement of VIP Invitations successfully completed between 1 December 2025 – 31 December 2025.

ii. Early February 2026: settlement of VIP Invitations successfully completed between 1 January 2026 – 31 January 2026.

d. Checking Processing

VIP status confirmation and VIP reward settlement will be processed and confirmed by OSLDS based on OSLDS’s internal records. OSLDS reserves the right to perform additional verification checks.

e. Reward Cap and Interaction

The maximum of ten (10) Invitees per Inviter under Clause 5.2 applies to VIP Invitations as well; VIP Invitation Rewards are awarded in addition to, and independently of, any Ordinary Invitation Rewards, subject to the overall 10-invitee cap.

Reward Distribution

• OSLDS will distribute the BTC rewards to the accounts of the eligible inviter and invitee within 30 business days following the fulfilment of the Successful Invitation criteria.
• OSLDS reserves the right to withhold or adjust any reward amounts pending verification of VIP status, Referral Code linkage, or detection of suspicious or ineligible activity.

Disqualification

• If the invitee fails to meet the registration, deposit, or other conditions as set out herein by the end of the Promotion Period, they will forfeit eligibility for the reward. In such cases, no rewards will be issued.

General Terms

• OSLDS has sole and absolute discretion in determining your eligibility to participate in the Campaign and / or receive any rewards under the Campaign. OSLDS may, at its sole and absolute discretion, suspend, vary, amend, withdraw or terminate these Terms at any time without prior notice, including for the avoidance of doubt, suspend, abbreviate or vary the Promotion Period.
• In no event shall OSLDS be obligated to award anything other than that specified herein. The data and validation for this Campaign shall be based on OSLDS’s records, and OSLDS retains the exclusive right of final decision. OSLDS reserves the right, at its sole discretion, to suspend or revoke the eligibility of any participant from this Campaign if the participant is found to have engaged in improper actions, including but not limited to, maliciously claiming rewards, using automated means to execute the Eligible Transactions, falsifying or misreporting data, exploiting platform vulnerabilities, or utilizing technological methods to obtain undue benefits.
• In the event of any discrepancy or inconsistency between the English and Chinese versions of these Terms, the English version shall prevail.

• This Campaign shall not, under any circumstances, be construed as financial, legal, tax, or accounting advice, or a solicitation, recommendation, or offer to sell or subscribe to any securities or financial instruments. Nothing contained herein shall form the basis of any contract or commitment. Additionally, this Campaign is not intended to provide tax, legal, or accounting advice. 本條款及條件（「條款」）適用於由 OSL數字證券有限公司（「OSLDS」、「我們」或「本公司」）組織的邀請狂賞月活動（「活動」）。參與本活動即表示參與者（「您」或「您的」）承認並同意受這些條款、OSLDS 客戶條款及條件以及 OSL 隱私政策（統稱為「協議」）的約束，這些協議共同構成具有法律效力的協議。

活動期間

• 本活動於 2025 年 12 月 1 日 09:00（香港時間）開始，並於 2026 年 1 月 31 日 23:59 結束（「促銷期間」），除非 OSLDS 自行決定提前修改或終止。

參加資格

• 參與者必須為香港特別行政區（「香港」）的居民，並在開戶過程中提供有效且可驗證的香港住址證明。居住在香港以外地區的參與者無資格參與。
• 參與者必須在參與時年滿 18 歲。
• 每個參與者僅可擁有一（1）個 OSLDS 帳戶。同一個人註冊多個帳戶將導致活動資格被取消。
• 本活動僅向個人客戶開放，不包括機構客戶。

合資格邀請人

• 要成為本活動的合資格邀請人，必須滿足以下條件：

a. 邀請人必須在推廣期間之前或期間成功開設並保持有效的 OSLDS 帳戶。為避免疑問，邀請人必須通過 OSLDS 要求的所有必要帳戶驗證程序，包括但不限於 KYC 驗證、身份驗證以及 OSLDS 所決定的任何其他要求。

b. OSLDS 將為每位合資格邀請人發放專屬邀請碼。

• 參與活動即表示邀請人聲明、保證並承諾：

a. 邀請人不得以 OSLDS 代理人或代表身份行事，也不得在任何司法管轄區內從事任何形式的 OSLDS 服務或產品的行銷、招攬或推廣活動。

b. 邀請人不得直接或間接提供與數字資產交易相關的任何形式的投資建議、推薦、意見或指導，包括但不限於投資策略、購買或出售數字資產或相關金融工具的建議。

c. 邀請人不得將任何個人推薦給 OSLDS 作為業務、商業或專業安排的一部分，也不得以業務、企業或受規管的活動身份從事任何推薦活動。

成功邀請標準

• 當所有以下條件均已完全滿足時，即視為「成功邀請」：

a. 邀請人將其專屬邀請碼提供給一位未曾註冊過 OSLDS帳戶的個人（下稱「受邀人」）。

b. 受邀人：

i. 在註冊時輸入邀請人的專屬邀請碼；

ii. 成功完成 OSLDS 所要求的所有帳戶驗證程序，包括但不限於 KYC 驗證、身份驗證，以及 OSLDS 所決定的任何其他要求；

iii. 適用於普通邀請，自首次註冊之日起十四（14）個日曆日內，需符合以下任一條件：

（i）向 OSLDS 帳戶存入至少 10,000 港幣（或等值其他貨幣）并自首次存款起連續十四 (14) 個日曆日內保持至少 10,000 港幣（或等值其他貨幣）的淨存款。「淨存款」指存入帳戶的總金額，減去任何提款或轉帳金額，且不包括因市場波動或其他原因導致的資產價值變化；

OR

單筆購買至少 100 港幣（或等值其他貨幣）的數字資產

• 就本活動而言，「註冊」或「註冊過程」指的是通過指定平台或渠道首次創建 OSLDS 帳戶的過程。「註冊」不包括完成帳戶驗證、KYC 驗證或 OSLDS 可能會根據監管或運營要求施加的任何其他額外要求。
• 參與本活動的每位用戶（無論是邀請者或受邀人）聲明、保證並承諾，他們無論是單獨或與他人共謀，均未從事任何可能構成違反適用的刑事、民事或監管法律的行為、活動或做法，包括但不限於反貪污、反洗錢、欺詐或其他一般刑事法律或規定。這包括但不限於從事如賄賂（無論是以提供、給予、接收、索取或誘使未經授權的優勢、回報、利益或引誘）或參與任何形式的不誠實、欺詐或非法行為。

獎勵結構

• 成功完成邀請後，並完全符合本條款規定的所有資格要求和條件，合格邀請人有權獲得以下獎勵：
